In accordance with the Articles of Association the matters listed in the table below require a Shareholder Meeting resolution.

Matters that require a Shareholder Meeting resolution
as of December 31, 2014 and as of the day of publishing the 2014 Annual Report
1. reviewing and approving financial statements for the previous financial year and the Management Board’s report on the Company’s operations (Directors’ Report),
2. giving a discharge on the fulfillment of duties to members of the company’s corporate bodies,
3. distributing profit and covering losses,
4. appointing and dismissing Supervisory Board members,
5. suspending Management Board members from the performance of their duties,
6. establishing remuneration for Supervisory Board members, subject to § 29 clause 4 of the Articles of Association,
7. selling and leasing the company’s business or an organized part thereof as well as establishing a limited proprietary right thereon,
8. concluding a credit, loan, surety agreement or any other similar agreement by the company with a Management Board member, Supervisory Board, proxy, liquidator or for the benefit of any such person. 9. increasing and lowering the company’s share capital,

11. purchasing treasury shares in cases required by the Code of Commercial Companies,
12. compulsorily redeeming shares (squeeze-out) in accordance with art. 418 of the Code of Commercial Companies,
13. setting up, using and liquidating reserve capitals,
14. using supplementary capital,
15. provisions related to claims to repair damage caused when establishing the company or serving on the management or supervisory board,
16. merger, transformation and division of the company,
17. redemption (retirement) of shares,
18. amending the Articles of Association and changing of the Company’s line of business,
19. dissolving and liquidating the company.
